Kaidris Forge Licence Agreement
Version 1.0 · Published 18 October 2026. It applies to every Kaidris Forge licence. Kaidris Forge is not on sale yet.
This agreement is between Kaidris LLC, a Wyoming limited liability company, 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("Kaidris", "we") and the person or organisation that buys a Kaidris Forge licence ("you"). By buying, downloading, activating or using Kaidris Forge you accept this agreement.
1. Definitions
- Forge — the Kaidris Forge software: model weights (the base model and its adapters), the Kaidris agent, tools, plugins, updates and documentation that we deliver to you under a paid licence.
- Community Edition — Kaidris-ABAP-7B, which is licensed separately under Apache-2.0 and is not covered by this agreement.
- Named User — the one individual a licence (or Enterprise seat) is assigned to.
- Machine — one computer (physical or virtual) on which Forge is activated.
- Subscription Term — the paid period shown at checkout or in your order, and each renewal.
2. Licence grant
2.1 Subject to this agreement and payment of the fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence, for the Subscription Term, for the Named User to install and use Forge on up to two (2) Machines at a time, to write, test, fix and modernise software, including for your clients.
2.2 Individual licences are bought and paid for by the Named User personally, for their own use. They may not be paid for or reimbursed by an employer or client, and may not be transferred or reassigned.
2.3 Enterprise licences are bought by an organisation. The organisation assigns each seat to one Named User and may reassign a seat when a Named User leaves or changes role. The organisation is responsible for its Named Users' compliance.
2.4 Output. Code and other output that Forge generates for you is yours, as between you and us. You are responsible for reviewing, testing and approving it before use, including on your SAP systems.
3. Restrictions
You must not, and must not allow anyone to: 1. share, sell, rent, lend, publish or redistribute Forge, its weights, adapters or licence keys, or make Forge available to anyone other than the Named User (including as a hosted or shared service); 2. use one licence for more than one person, or on more than two Machines at a time; 3. copy, extract, decrypt, dump or otherwise obtain Forge's model weights or adapters outside the Kaidris agent, or remove or alter any watermark, licence check or notice; 4. reverse engineer, decompile or disassemble Forge, except to the extent the law expressly allows despite this restriction; 5. use Forge or its output to train, fine-tune or distil a competing model; 6. circumvent the licence activation, check-in, machine limit or update controls.
4. Activation, check-ins and machines
4.1 Forge must be activated with a licence key. It then checks in with our licence server about every 30 days. Each check-in sends only: a hash of the licence key, a hash of a machine fingerprint computed on the Machine, and the app version. Forge never sends source code, prompts, table definitions, file names or usage data.
4.2 Forge keeps working offline for an additional grace period of 14 days after a check-in falls due.
4.3 You can deactivate a Machine at any time from your account to move Forge to another Machine.
4.4 We may flag unusual activity (for example, activations on many Machines or from many countries in a short time) for manual review. We will contact you before suspending a licence for suspected sharing, except where we reasonably believe the licence key has been published or sold.
5. Watermarks
Each copy of Forge delivered to you carries a unique, hidden identifier linked to your licence. You agree that we may use it to identify the licence a leaked or redistributed copy came from, and to enforce this agreement.
6. Updates and support
During the Subscription Term you receive updates we make generally available and email support (Enterprise support response targets are stated in the Enterprise quote). Updates require an active licence.
7. Fees, renewal and taxes
7.1 Fees are as shown at checkout or in your quote: planned launch pricing USD 1,000 per year (Individual) and USD 2,000 per Named User per year (Enterprise), plus taxes. Founding-member and volume prices, where offered, are stated at checkout or in the quote. Kaidris sets prices, discounts, bundles and free tiers at its sole discretion.
7.2 Subscriptions renew automatically for the same term unless cancelled before renewal. We remind you 30 and 7 days before renewal.
7.3 Online payments are processed by our reseller and merchant of record (Paddle or Lemon Squeezy, named at checkout), which also handles sales tax and VAT, invoices and refunds. Enterprise customers may instead pay by invoice and bank transfer under the payment terms in their quote.
7.4 Refunds follow the Kaidris Refund Policy.
8. Term and termination
8.1 This agreement lasts for the Subscription Term and renewals.
8.2 We may suspend or terminate your licence on written notice if you materially breach this agreement (including section 3) and, where the breach can be fixed, you do not fix it within 14 days.
8.3 When the licence ends: your right to use Forge ends; Forge stops working after the grace period; Forge download links stop working; and you must delete Forge from your Machines. Code Forge produced for you remains yours. Sections 3, 5, 9–13 survive.
9. Audit (Enterprise)
On 30 days' written notice, no more than once a year, an Enterprise customer will provide a written statement of the Named Users and Machines using Forge. If it shows use beyond the licences purchased, the customer will pay for the additional licences at the then-current price.
10. Warranties and disclaimers
10.1 We warrant that Forge will perform materially as described in its documentation for 30 days from purchase; your remedy for a breach of this warranty is repair, replacement or a refund of the fees paid for the affected period.
10.2 Otherwise Forge is provided "as is". AI-generated code can be wrong. We do not warrant that output is correct, secure or fit for any purpose, or that it has been validated on your SAP system. You must review and test output (for example with ATC checks and unit tests) before using it in production.
10.3 SAP and ABAP are trademarks of SAP SE. Kaidris is not affiliated with, endorsed by or sponsored by SAP. Forge is not an SAP product and is not supported by SAP.
11. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and (b) each party's total liability under this agreement is limited to the fees you paid for Forge in the 12 months before the claim. These limits do not apply to your breach of section 3, to either party's fraud, or to liability that cannot be limited by law.
12. Indemnity
Kaidris gives no indemnity under this agreement unless one is agreed in a signed Enterprise contract.
13. General
13.1 Governing law and venue: the laws of the State of Wyoming, USA, without regard to conflict-of-law rules; exclusive venue in the state or federal courts located in Wyoming. If you buy as a consumer, the mandatory consumer-protection laws of your country of residence still apply.
13.2 Export: you will comply with applicable export-control and sanctions laws.
13.3 Entire agreement: this agreement, your order or quote, and the Refund Policy are the entire agreement. An Enterprise customer's signed agreement, if any, takes precedence.
13.4 Changes: we may update this agreement for future renewals with at least 30 days' notice.
